Pragma Terms of Service

01 Definitions

• "Pragma", "Application", "we", "us", or "our" means Pragma IDE and all associated services provided by CredVault Technologies.
• "User", "you", or "your" means the individual or legal entity using Pragma.
• "Content" means code, prompts, files, and any data you submit to Pragma.
• "AI Services" means code generation, analysis, suggestions, and other features powered by third-party AI models (Claude, GPT, etc.).
• "Backend Mode" means using Pragma with CredVault's cloud backend.
• "Standalone Mode" means using Pragma with your own API keys without CredVault backend involvement.

02 License Grant

We grant you a limited, non-exclusive, non-transferable license to install and use Pragma on devices you own or control, subject to these Terms and your subscription plan. You may not:

• Reverse-engineer, decompile, or modify Pragma's source code
• Remove or alter copyright, trademark, or license notices
• Use Pragma for commercial purposes without authorization (if your plan does not allow it)
• Distribute or sublicense Pragma to third parties
• Use Pragma to compete with CredVault or its partners

03 Your Content & Ownership

Ownership

You retain full ownership of all Content you create or submit to Pragma. We do not claim ownership of your code, prompts, or outputs.

License to Pragma

By submitting Content to Pragma (especially in Backend Mode), you grant us a limited license to:

• Process your Content through AI models to provide AI Services
• Use anonymized/aggregated Content for product improvement (never identifying you)
• Store logs for debugging and performance optimization (subject to retention limits in Privacy Policy)

We do NOT:

• Use your Content for training AI models without explicit consent
• Sell or license your Content to third parties
• Claim ownership of generated code or outputs

AI-Generated Content

Code and suggestions generated by Pragma's AI are provided "as-is" and may contain errors, bugs, or security vulnerabilities. You are solely responsible for reviewing, testing, and validating any AI-generated code before using it in production. CredVault is not liable for damages caused by AI-generated content.

04 Acceptable Use Policy

You agree NOT to use Pragma for:

• Illegal Activity: Code generation for hacking, fraud, malware, or breaking laws
• Harassment: Creating AI prompts designed to harass, threaten, or abuse individuals
• Spam: Mass-submitting Content to overload or disrupt Pragma services
• IP Infringement: Generating code that violates intellectual property rights or licenses
• Malware/Viruses: Intentionally creating malicious code
• Secrets Extraction: Attempting to extract or manipulate API keys from Pragma's backend
• Comparative Reverse-Engineering: Using Pragma to reverse-engineer competitors' software
• Automated Abuse: Using bots, scrapers, or automating API calls beyond rate limits

Violations may result in account suspension or termination without refund.

05 AI Services Disclaimer

IMPORTANT: AI-generated code is experimental and may contain critical errors. You use AI Services at your own risk.

No Guarantees

• AI Services are provided "as-is" without warranty
• Code may have security vulnerabilities, performance issues, or logical errors
• Generated suggestions may not follow your coding standards or best practices
• AI may produce different code for identical prompts (non-deterministic)

Your Responsibility

• Review all AI-generated code thoroughly before use
• Test code in safe environments (staging, development)
• Validate security and performance implications
• Do not use AI code in safety-critical systems without independent review
• Maintain your own code quality standards and security practices

No Liability

We are not liable for any damage or loss caused by:

• AI-generated code errors, bugs, or vulnerabilities
• Use of generated code in production systems
• Security breaches resulting from inadequate code review
• Service interruptions or API availability

06 Subscription & Billing

Pricing Tiers

Pragma offers free, paid, and enterprise plans. See pricing page for current rates and features.

Desktop Application License

Your right to install and use the Pragma desktop application is also governed by the Pragma End User License.

Billing & Renewal

• Subscriptions auto-renew on the billing cycle date
• You authorize recurring billing to your payment method
• Failed payments may result in service suspension
• You may cancel anytime; cancellation takes effect at cycle end

No Refunds

Except as required by law, subscription fees are non-refundable. You can cancel to avoid future charges.

Price Changes

We may change pricing with 30 days' notice. Continued use after price changes constitutes acceptance.

07 Account Security

• Your Credentials: You are responsible for protecting your password and account credentials
• Unauthorized Use: You must immediately notify us of unauthorized access to your account
• Multi-Factor Auth: We recommend enabling multi-factor authentication (MFA) for additional security
• API Keys: If using Standalone Mode, keep your API keys (Claude, OpenAI) secure and never share them
• No Liability: We are not liable for unauthorized access resulting from your negligence

08 Warranty Disclaimer

PRAGMA IS PROVIDED "AS-IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY. We disclaim all warranties, express or implied, including fitness for a particular purpose, merchantability, and non-infringement.

We make no warranty that:

• Pragma will be error-free or uninterrupted
• Defects will be corrected
• Generated code is secure or suitable for your use case
• AI Services will be available 24/7

09 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: We are not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits or data loss, even if advised of such damages.

Liability Cap

Our total liability under these Terms shall not exceed the amount you paid for Pragma in the 12 months prior to the claim, or $100, whichever is greater.

Exceptions

These limitations do not apply to:

• Your indemnification obligations
• Breaches of confidentiality or intellectual property
• Fraud or gross negligence
• Liability that cannot be excluded by law

10 Indemnification

You agree to indemnify and hold harmless CredVault, Pragma, and their officers, employees, and partners from any claims, damages, or expenses (including legal fees) arising from:

• Your use of Pragma or violation of these Terms
• Content you submit or generate with Pragma
• Your infringement of third-party intellectual property rights
• Illegal or harmful activities conducted via Pragma

11 Termination

Termination by You

You may terminate your Pragma account anytime via settings. Upon termination, your access will cease, but historical data may be retained per our Privacy Policy.

Termination by Us

We may suspend or terminate your account if you:

• Violate this Terms of Service
• Engage in illegal or harmful activity
• Repeatedly violate our Acceptable Use Policy
• Fail to pay subscription fees for 30+ days

We will attempt to provide 30 days' notice before termination (except for gross violations).

12 Third-Party Services

Pragma integrates with third-party services:

• Anthropic Claude: Subject to Anthropic's Terms of Service
• OpenAI GPT: Subject to OpenAI's Terms of Service
• Paystack (Payments): Payment processing handled by Paystack per their terms

We are not responsible for third-party services. Use of these services is at your own risk and subject to their terms and privacy policies.

13 Changes to Terms

We may update these Terms periodically. Material changes will be announced via email or in-app notification with 30 days' notice. Continued use of Pragma after the notice period constitutes acceptance of updated Terms.

14 Governing Law & Jurisdiction

These Terms are governed by the laws of the Republic of Kenya, without regard to conflict of law principles. Any disputes arising from these Terms shall be subject to the jurisdiction of Kenyan courts.

15 Severability

If any provision of these Terms is found to be unenforceable, that provision will be severed, and the remaining provisions will continue in full force.
